CCI Clears TVS Emerald's Acquisition of PGIM India Asset Management and Trustee Companies
TVS Group Enters Wealth Management: CCI Approves PGIM India Acquisition
The Competition Commission of India has approved the acquisition of PGIM India Asset Management Pvt. Ltd. and PGIM India Trustees Pvt. Ltd. by TVS Emerald Limited and TVS Venu Management and Consultancy Services, acquiring 100% of the issued, subscribed and paid-up share capital of both entities. The clearance, granted in mid-June 2026, marks a strategic expansion for the 115-year-old TVS Group into India's financial services sector.
PGIM India Asset Management manages 25 open-ended mutual funds and over ₹30,000 crore in assets as of March 2026. The target entities are engaged in the wealth management sector, operating businesses relating to mutual funds, portfolio management services, alternative investment funds and investment advisory services.
Background on PGIM India
The TVS Venu Group announced the acquisition in April 2026 for an undisclosed sum. The conglomerate acquired the India asset management business of the US-headquartered Prudential Financial's 100 per cent stake in PGIM India Asset Management and PGIM India Trustees.
As of the end of March, PGIM India oversaw 25 open-ended mutual fund schemes in India, and also offers alternative investment funds, portfolio management services and offshore advisory. PGIM India is headquartered in Mumbai with a presence in 25 cities across India.
TVS Group's Expansion Beyond Real Estate
TVS Emerald Limited is engaged in the real estate development business in India. The TVS Group is one of India's leading business houses with over 50 group companies, 50,000 employees, and an annual turnover of over USD 8.5 billion. The group was started by T. V. Sundaram Iyengar in 1911 at Madurai.
For the TVS Group, which has deep roots in automotive manufacturing and real estate, acquiring an asset management company is a major step toward diversifying its business profile. By entering the mutual fund space, the group is looking to tap into India's growing financial services market.
Market Context
The Indian mutual fund industry is growing rapidly, with total assets expected to reach around ₹81 lakh crore by December 2025 and USD 0.91 trillion in 2026. However, the market remains concentrated. PGIM India, with its ₹30,000 crore AUM, ranks around 25th nationally, making it a mid-sized player, much smaller than leaders like SBI Mutual Fund or ICICI Prudential Mutual Fund.
